1. Acceptance of These Terms
These Terms of Use (the "Terms") govern your access to and use of http://hapaytech.com/, including its subpages (the "Site"), which is operated by HA HK Limited. By accessing or using the Site, you agree to these Terms. If you do not agree, you should stop using the Site.
Where you use the Site on behalf of a company or other organisation, you confirm that you are authorised to act for and bind that organisation.
2. Regulatory Status
HA HK Limited is currently applying for a Money Service Operator (MSO) licence under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615 of the Laws of Hong Kong). The Company is not presently licensed to carry on money changing or remittance business in Hong Kong and will not commence regulated money services unless and until the required licence is granted.
Descriptions on the Site of domestic and cross-border money remittance services refer to proposed services only. They do not constitute an offer or commitment to provide a regulated service before licensing.
3. Purpose of the Site
The Site provides general corporate, compliance and proposed-service information. It is not a transaction platform unless and until HHL expressly makes such functionality available after obtaining all required approvals.
Nothing on the Site constitutes financial, investment, legal, tax or other professional advice, or an offer, solicitation or recommendation to enter into any transaction. You should obtain independent advice where appropriate.
4. Proposed Services
Subject to licensing, customer eligibility, satisfactory due diligence and applicable terms, HHL intends to provide:
- Domestic Money Remittance Services; and
- Cross-Border Money Remittance Services.
The availability, jurisdictions, channels, limits, fees, settlement times and other features of any service may vary and will be governed by separate customer agreements and transaction-specific terms.
5. Permitted Use
You may use the Site only for lawful purposes. You must not:
- use the Site in breach of any applicable law or regulation;
- submit false, misleading, fraudulent or unlawful information;
- attempt to gain unauthorised access to the Site, systems, accounts or data;
- introduce malware or interfere with the operation, availability or security of the Site;
- copy, scrape, harvest or systematically extract Site content without permission;
- impersonate another person or misrepresent your authority or affiliation; or
- use the Site in a way that may cause loss, liability, regulatory concern or reputational harm to HHL or another person.
6. Information and Availability
Information on the Site is provided on an "as is" and "as available" basis. Any fee, timing, corridor or service-availability information shown is illustrative or indicative only unless expressly stated otherwise in a binding customer agreement or transaction confirmation.
We may update, correct, suspend or withdraw any Site content or functionality without notice. We do not guarantee that the Site will be uninterrupted, error-free, secure or free from harmful components.
7. Third-Party Links and Content
The Site may contain links to third-party websites or materials for convenience. HHL does not control or endorse them and is not responsible for their availability, accuracy, security, content or privacy practices.
8. Intellectual Property
All intellectual property rights in the Site and its content, including text, designs, graphics, logos, trademarks, software and databases, are owned by or licensed to HHL. You may view and print reasonable extracts for personal or internal business reference only. No content may otherwise be reproduced, modified, distributed, transmitted, published, commercially exploited or used to create derivative works without prior written permission.
9. Privacy
Our collection and handling of personal data are described in the HHL Privacy Policy. By submitting personal data through the Site, you acknowledge that it will be handled in accordance with that policy and applicable law.
10. Disclaimers and Limitation of Liability
To the fullest extent permitted by law, HHL excludes all representations, warranties and conditions, whether express, implied or statutory, relating to the Site, including accuracy, completeness, availability, merchantability, fitness for purpose and non-infringement.
To the fullest extent permitted by law, HHL and its directors, officers, employees, affiliates and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or any loss of profit, revenue, opportunity, goodwill or data, arising from or connected with the Site. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
11. Indemnity
You agree to indemnify HHL against losses, liabilities, costs and expenses reasonably arising from your unlawful use of the Site, your breach of these Terms, or your infringement of another person's rights.
12. Suspension and Termination
We may restrict, suspend or terminate access to the Site where reasonably necessary for security, legal, regulatory, operational or maintenance reasons, or where we believe these Terms have been breached.
13. Changes to These Terms
We may amend these Terms by posting an updated version on the Site. Changes take effect when published unless a later date is stated. Continued use of the Site after an update constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Site.
